The RMD Director and Associate General Counsel, Mergers and Acquisitions, provides legal support for all aspects of mergers and acquisitions on behalf of Raytheon Missiles & Defense. Reporting to the Chief Counsel for Shared Legal Services (SLS) in RMDs Office of General Counsel, this position is responsible for reviewing potential M&A opportunities, developing transaction strategy and structure, conducting due diligence, drafting documentation, leading negotiations, and supporting deal closure and execution. This role serves as legal counselor and advisor for RMDs Vice President for Strategy and the Strategy leadership team, advising on strategic and tactical opportunities and initiatives impacting business objectives. This role also provides primary legal support for review, formation, and governance of RMD joint ventures and for antitrust issues impacting the business. This position serves as primary liaison to the RMD General Counsel, SLS Chief Counsel, and Mission Area attorneys to drive consistent messaging and implementation of legal approaches to support inorganic opportunities or other strategic objectives.

Responsibilities include but are not limited to:

Legal support for all stages of M&A, from strategy development, opportunity assessment, target identification, transaction planning and diligence, deal development and execution, and integration or separation post-transaction to mitigate risk to the business unit. Establish guidelines for evaluating potential targets, identifying and mitigating risk, and efficiently structuring transactions in a manner that balances business needs with minimizing unanticipated/unacceptable risk to RMD. Effectively manage outside counsel engaged to represent RMD in M&A activity and strategic agreements with business partners and suppliers.
Advice and guidance on strategic opportunities and campaigns to RMDs Strategy team, consisting of functional and program area senior directors, as well as mission area Strategy leads. Position advises on teaming and joint ventures, pursuits, information-sharing, and potential investments.
Review, formation, and governance of RMD domestic and international joint ventures and other strategic collaborations.
Legal review and compliance with antitrust and competition requirements, to support appropriate growth strategies consistent with pro-competition requirements and RTX code of conduct.

This position can be done fully remotely. Some travel may be required, up to 10% of the time.

Qualifications you must have:
  • 8+ years of directly relevant legal experience.
  • Substantial experience as a solutions and business-oriented attorney working all phases of M&A work, preferably in aerospace or defense industry.
  • Prior experience in reviewing, structuring, and negotiating domestic and international joint ventures and other collaborations.
  • Experience with U.S. antitrust requirements.
  • Good standing with a state bar association, and in-house Counsel Registration in a timely manner following hire.
Required Education (including Major):
  • JD from an accredited US law school.
  • The ability to obtain and maintain a US security clearance. U.S. citizenship is required as only U.S. citizens are eligible for a security clearance.
